Our attorneys have cross-border legal knowledge and experience in all areas of the law.

Parsons Behle & Latimer gives legal advice to clients as they expand their businesses and provide capital across national boundaries and into global markets. We support our clients as lead deal counsel with responsibility for project management of all legal aspects of the deal, strategic counsel assisting a client’s chosen foreign law firm leading an engagement with strategic advice, and/or as local counsel providing legal advice on local matters related to the states in which we practice.

Our cross-border experience includes mergers and acquisitions; market entry strategies; debt and equity financing; joint ventures with a special focus on mining projects; tax planning; contract manufacturing arrangements; EPC and EPCM agreements; distribution agreements; research and development agreements; sales and supply agreements; license agreements; establishing and enforcing intellectual property rights; and dispute resolution through litigation, arbitration and mediation.

With our deep experience we recognize that cross-border engagements present considerations not found in purely domestic matters including cultural considerations; structuring issues informed by disparate tax, accounting, disclosure, corporate, commercial, labor and other considerations; transaction management issues, including the need to address multiple languages and time zones; and considerations regarding the enforceability of an arrangement if a relationship doesn’t work out as anticipated, including both technical considerations informing legal enforceability and the practical means by which the benefits of an agreement will be realized.

As part of a general practice firm, our attorneys working on a cross-border engagement are able to leverage the full resources of our firm as well as immediate access to a well-developed network of proven foreign counsel developed over many years, including law firms with which we have long-term shared client relationships, attorneys and law firms we know through various international business and professional organizations, as well as the other independent law firm members of both the “TerraLex” and “State Capital Global Law Firm Group.”
