LEAD COUNSEL IN THE BANKRUPTCY ASSET BUYOUT OF CLOUD PEAK ENERGY COMPANY BY ITS CLIENT, NTEC. THE PURCHASE MAKES NTEC THE THIRD-LARGEST COAL PRODUCER IN THE UNITED STATES

The NTEC venture includes the Antelope and Cordero Rojo mines – the third- and fifth-largest coal mines in the U.S. and the Spring Creek mine. NTEC is a wholly-owned LLC of the Navajo Nation. Parsons’ team included Bruce H. White and Michael R. Brown - strategic guidance on bankruptcy and corporate structuring; Kevin W. Johnson - anti-trust and mining issues; Shane L. Hanna - core corporate transactional matters. Parsons’ team represented the client with the bankruptcy structuring in acquisition of the asset buyout; drafted acquisition agreements and related documents; and handled Hart-Scott-Rodino filing.
