Simeon Vance represents businesses across a broad array of industries and in all phases of the company lifecycle, often consulting with entrepreneurs at the idea stage and evolving to entity formation, key contracts, capital financings, corporate governance, serving as outside general counsel, crisis management, mergers and acquisitions, and ultimately exit transactions. His legal career has included roles as a corporate attorney in Utah, Nevada, and Hawaii, as in-house general counsel to a private-equity-backed holding company and its innovation-based subsidiaries, and as an adjunct faculty teaching entrepreneurship to business, law, and engineering students.

Mr. Vance focuses heavily on mergers and acquisitions. Drawing upon extensive M&A experience in both sell-side and buy-side representations, he works hand-in-hand with business stakeholders and their advisors, from strategic target or exit planning to LOI and due diligence to definitive documents and closings. Additionally, Mr. Vance regularly assists clients with debt and equity financings and navigating securities laws, including private placement memorandums, crowdfunding, angel and venture capital investment, initial coin offerings, commercial loans, and hybrid instruments.

Mr. Vance’s unique combination of legal experience across multiple geographic markets, in both large and small firm environments, as in-house general counsel, and as an adjunct faculty provides him a broad and balanced perspective and the ability to add value with business-minded legal solutions. Also, more than just legal counsel, Mr. Vance takes pride in serving as a strategic resource and connector for clients.

Mr. Vance began his career in software development. Prior to attending law school, he worked as a programmer for a NASDAQ-listed telecommunications company as well as an e-infrastructure startup funded by Bain Capital and Accel Partners.
