Biography

Mike’s clients range from small businesses to large commercial enterprises and include financial institutions, manufacturers, mining operators, agricultural companies, and public entities. Mike advises on issues related to land use, insolvency, corporate structure, and compliance with both state and federal regulations. Mike routinely helps his clients gain a better understanding of novel or developing areas of law and potential outcomes for their businesses.

Mike has practical experience negotiating and structuring a wide variety of complex real estate deals. His practice also involves lending, foreclosures, secured transactions (UCC), workouts, tenancy, and creditor/debtor issues. Additionally, Mike has the knowledge and skills to guide lenders and borrowers through commercial restructuring and all aspects of bankruptcy proceedings.

Experience

Structured Gold Mine Transaction and 1031 Exchange

Structured the sale of a gold mine to a junior mining company for the client including negotiating and documenting all aspects of the transaction, including a private placement and the payment of a mortgage. Also represented client Nevada Gold Mines in an IRS Section 1031 like-kind exchange of two mining properties, including environmental due diligence; real property transfers/recordings; personal property transfers; private placement on a secured credit facility; and tax structuring.
