His sophisticated transactional practice focuses on representing individual dentists, group practices, Dental Support Organizations (DSOs), and other healthcare professionals with practice sales and acquisitions, support organization implementation, financing, and a host of additional corporate and transactional matters in the healthcare space.

Biography

Bryan Elwood focuses his practice in the corporate, transactional and finance sectors, advising clients in negotiating and implementing asset and equity acquisitions and dispositions, organizational structuring and implementation, and financial transactions. He has extensive experience advising Dental Support Organizations (DSOs), dental practice groups, individual dentists and other health care providers in a variety of corporate and regulatory matters, including buying and selling dental and other healthcare practices, forming dental and other management support organizations, and preparing and implementing business support and other related agreements. In addition to his dental and other health care legal work, Bryan also provides general corporate governance and business transaction services to clients across all industries and he has significant experience representing creditors, debtors, and other parties-in-interest in the areas of creditors’ and debtors’ rights, complex bankruptcy cases and out-of-court restructurings.

Prior to joining Parsons, Bryan was Senior Counsel at Dykema Gossett in Dallas after spending over 11 years at Greenberg Traurig in its Dallas office. Following law school he served as a Law Clerk to the Honorable Robert C. McGuire, Chief Judge of the United States Bankruptcy Court, Northern District of Texas (Dallas Division).

Represented two companies in separate transactions to acquire the rights to demolish, salvage and sell the salvaged materials from Brownfield sites in the state of Texas.

Assisted Dental Organization in the Sale of 14 Sites

Represented dental support organization with 14 related office locations in sale of substantially all of its assets to a larger dental support organization.  

Assisted Dental Organization in the Acquisition of Eight Offices

Represented dental support organization in multi-state acquisition of eight dental offices from multiple owners and in implementing dental support organization structure.
