Spencer also helps medical and dental companies navigate the complex world of healthcare regulation.

Biography

Spencer works in the firm’s corporate, healthcare, and transactional groups. He helps companies with all their general needs. From formation and corporate governance to contract drafting and acquisitions, Spencer supports companies wherever their businesses take them. He also provides counsel on healthcare regulatory issues, such as STARK and Anti-Kickback.

Spencer obtained his J.D. from Brigham Young University Law school, graduating cum laude. While in law school, Spencer served as an extern for the Hon. Kevin R. Anderson of the U.S. Bankruptcy Court, District of Utah. Prior to law school, Spencer earned his degree in political science from Brigham Young University, where he worked as a legislative intern for Utah Senator Curt Bramble during the 2021 legislative session.

In his free time, Spencer enjoys spending time with his wife, daughter, and dog, and cheering on BYU football.

Parsons advised on deal structuring, including seller rollover, and full acquisition documentation through closing for a leading IT services company in its sale to a private equity-backed platform in the IT services space.

Client representation in sales of leading medical esthetics brand to private equity-backed MSO platform

Represented a leading medical spa brand in its sale to a private equity-backed MSO platform in the medical aesthetics space. The transaction utilized an MSO structure to maintain compliant separation of business and clinical assets. Our team advised the seller on deal structure and documentation through closing.

Parsons Represents Spectrum Engineers as Lead Counsel in Tri-Party Merger Forming Lynk Engineers

Parsons Behle & Latimer advised Spectrum Engineers, a leading middle-market engineering firm headquartered in Salt Lake City, as the lead party in a tri-party business combination involving Envision Engineering and Colvin Engineering to form Lynk Engineers. The Parsons deal team was led by Adam Ott and Keyan Norman with assistance from Benjamin Lefler, Hunter Johnson, Spencer Medel, and Landon Tracy. Ross Keogh, Paul Smith, and Emily Hill also advised on the transaction.
