Represented a leading medical spa brand in its sale to a private equity-backed MSO platform in the medical esthetics space. The transaction utilized an MSO structure to maintain compliant separation of business and clinical assets. Our team advised the seller on deal structure and documentation through closing.
Four B Props., LLC v. Nature Conservancy, No. 25-8024, 2026 WL 1018353 (10th Cir. Apr. 15, 2026)
Successful defense of multi-million dollar claims for promissory estoppel at summary judgment and on appeal before the U.S. Court of Appeals for the Tenth Circuit. The U.S. District Court for the District of Wyoming held that that the record evidence failed to establish any of the elements of promissory estoppel and that the landowner plaintiff was not entitled to relief in equity. The Tenth Circuit affirmed on appeal, upholding the binding terms of the perpetual conservation easement limiting plaintiff’s use of his property. Parsons' attorneys included Leah C. Schwartz, William P. Schwartz and Hannah J. Ector.
Represented Shelter WF in Pro-Housing Zoning Matter in MT Supreme Court
Represented Shelter WF, a 501(c)(4), dedicated to pro-housing policy in Montana. Shelter WF intervened to defend Montana legislation for pro-housing zoning reforms, threatened to be undone by Montanans Against Irresponsible Densification. After prevailing in district court, Shelter WF and Parsons appealed to the MT Supreme Court to correct some errors, which the MT Supreme Court affirmed in their entirety.
Represented Santander in $650M Debt and Tax Equity Financings for rPlus Energies’ Blacks Creek Energy Center
Parsons Behle & Latimer served as local counsel to the lender and tax equity investor for the debt and tax equity financings on rPlus Energies 400 MWac/520 MWdc Blacks Creek Energy Center in Ada County, Idaho, which will supply electricity to Idaho’s power grid. The Parsons’ attorney team advised on real estate, permitting, and energy regulatory matters.

Parsons Behle & Latimer advised Spectrum Engineers, a leading middle-market engineering firm headquartered in Salt Lake City, as the lead party in a tri-party business combination involving Envision Engineering and Colvin Engineering to form Lynk Engineers.
Parsons Represents Barrick in Acquisition of its Mercur Mines LLC by Revival Gold
Parsons represented Barrick Gold Exploration Inc. in a sale of the Mercur Mine to Revival Gold Inc. The project is anticipated to be Utah’s largest gold producer and contribute more than $4 billion to Utah’s economy creating an estimated 400 direct jobs during construction and 300 direct jobs over 10 years plus operation. Parsons’ corporate attorneys advised in all aspects of the transaction with Parsons’s corporate, real estate and environmental attorneys handling environmental due diligence, contracts and permitting.

Parsons represented a software company in a sale of its assets to a PE-backed platform company. The transaction included the sale of all of the company’s assets as well as equity grant options, related stock option plans and employment agreements.
Parsons Represents Explosives Manufacturer in Sale of Assets to Strategic Partner
Parsons represented an industrial explosives manufacturer in the sale of a portion of its assets to a strategic partner in the industry, and in connection with the sale the parties amended their existing shareholders agreement. The transaction included the sale of a portion of the company's assets located in the Southern Region including real property, warehouses, office space, equipment and explosives inventory.
Represented Stone Ridge Contracting, LLC in its Acquisition by Sterling Infrastructure, Inc. (NASDAQ:STRL)
Stone Ridge is a leading construction services contractor delivering heavy civil, concrete, and construction management services across high-growth sectors including data centers, mining, and industrial infrastructure. The Parsons' deal team was led by Adam Ott and Keyan Norman, with assistance from Benjamin Lefler, Nickie Hardesty and Landon Tracy.
